RECONVENED MEETING OF THE FARMVILLE TOWN COUNCIL HELD ON THURSDAY, FEBRUARY 28, 2008 At the reconvened meeting of the Farmville Town Council held at 2:00 pm on Thursday, February 28, 2008 in the Conference Room of the Town Manager’s Office located at 116 North Main Street, there present were Mayor S.C. Newman, Jr. presiding and Council members D.E. Whitus, C.H. Lafoon, O.S. Overton, A.D. Reid, and E.I. Gordon, also attending Town Manager, Gerald J. Spates. Mayor Newman called the meeting to order. Mr. Spates updated members on a recent meeting he had with Rob Maxey, an engineer from B & B Consultants regarding the Longwood Real Estate Foundation’s plans on the vehicle and pedestrian bridges to be constructed at Lancer Village (Stanley Park). He presented members with a draft sketch of the bridges and said the Foundation would retain ownership and carry the liability insurance. Council member S.B. Thompson arrived at 2:10 pm. On motion by Dr. Gordon, seconded by Mr. Whitus and with all Council members voting “aye” Council went into closed session pursuant to Section 2.2-3711.A.1 of the Code of Virginia on personnel matters for discussion or consideration in relation to an Administrative Employment Contract for Gerald J. Spates and Section 2.2-3711.A.7 of the Code of Virginia for consultation with legal counsel and briefings by staff members, consultants or attorneys, pertaining to actual or probable litigation, or legal matters regarding the Memorandum of Understanding between the County of Prince Edward and the Town of Farmville on issues relating to the Sandy River Reservoir, water and wastewater and Section 15.2-2907 of the Code of Virginia, for discussion of actions and consideration of voluntary boundary adjustment. CERTIFICATION OF CLOSED MEETING WHEREAS, the Farmville Town Council has convened a closed meeting on this date pursuant to an affirmative recorded vote and in accordance with the provisions of The Virginia Freedom of Information Act; and WHEREAS, Section 2.2-3712 of the Code of Virginia requires a certification by the Farmville Town Council that such closed meeting was conducted in conformity with Virginia law; NOW, THEREFORE, BE IT RESOLVED that the Farmville Town Council hereby certified that, to the best of each member’s knowledge, only public business matters lawfully exempted from open meeting requirements by Virginia law were discussed in the closed meeting to which this certification resolution applies, and only such public business matters as were identified in the motion convening the closed meeting were heard, discussed or considered by the Farmville Town Council. VOTE: 6 “AYES”, 0 “NOES” MOTION: Dr. Gordon SECOND: Mr. Whitus AYES: Whitus, Thompson, Lafoon, Overton, Reid and Gordon NOES: -0- ABSENT DURING VOTE: Hunter ABSENT DURING MEETING: Hunter _____________________________ Clerk EMPLOYMENT AGREEMENT CONTRACT FOR TOWN MANAGER, GERALD J. SPATES On motion by Dr. Gordon, seconded by Mr. Whitus and with a recorded vote with Council members Whitus, Thompson, Lafoon, Overton, Reid and Gordon voting “aye”, Council approved the Employment Agreement prepared by Town Attorney, Donald C. Blessing, with the amendment that section 12 be deleted. Members agreed that the Town Manager should be furnished a computer of choice but felt that no dollar amount should be included in the contract. Mayor Newman instructed Mr. Spates to have the document prepared for his signature. Mr. Spates thanked Town Council for their support and the Employment Agreement. The meeting moved to the Council Chambers for a joint Farmville Town Council and Prince Edward County Board of Supervisors reconvened meeting hosted by Architect, Ed Lazaron with Design Collaborative. Attending for the Prince Edward County Board of Supervisors: Chairman Fore and Supervisors Simpson and Jones also in attendance was County Administrator Wade Bartlett. Town Manager, Gerald Spates introduced Mr. Lazaron. Mr. Lazaron presented a power point presentation on the proposed new Town/County Library. He spoke of the 19,300 S.F. building being located at Wilck’s Lake. Mr. Lazaron gave a detailed presentation of the proposed floor plan and amenities being considered. He presented a budget estimate with the total construction cost of $6,875,000 million, which included: construction, furniture, furnishing, shelving, professional fee, testing, inspections and a contingency of 10 percent. He said the estimated 6.875 million does not include books, technology, copiers, telephones, building security audio/video equipment, or move in costs. Mr. Lazaron estimated those costs at an additional $500,000 dollars and said he hoped the project would be ready to go out for bid in late spring with construction starting in the summer. Council member Gordon spoke of his support of the project design and suggested the Town and County meet to discuss the proposed budget and financing. Dr. Gordon questioned Mr. Lazaron on his thoughts for the final cost estimate of the project. Mr. Lazaron spoke of technology being costly and estimated the final cost at over 7 million. He asked if the Town and County were at a point to confirm that the project could move forward. Town Manager, Gerald Spates and Supervisor Simpson confirmed that Mr. Lazaron could proceed with attaining cost estimates. Dr. Gordon again said that the Town and County would need to meet to discuss the financing. Supervisor Simpson spoke of the hard work and dedication of the Library Committee and expressed support of the project moving forward. He said he thought an Agreement had been reached between the Town and the County. Dr. Gordon said it is his understanding that the Town had reached an Agreement but the County had yet to take any formal action. It was agreed upon by Town Council and the Prince Edward County Board of Supervisors that joint library project could continue to move forward and the Town and County would meet to discuss the project, financing and formalizing an Agreement between the Town of Farmville and Prince Edward County in relation to the joint library.
